But, a Step-Up in Basis can save thousands on inherited property – learn how:

If you’re working with a family that just inherited some land or a piece of real estate or if you just did yourself, you may have heard of what’s called a step-up in basis. So, a step up and basis is a tax provision that allows the basis of the property for tax purposes to be adjusted to the fair market value at the time of the original owner’s death, rather than the basis of what they paid for it when they purchased the property. So, this can be a tremendous tool to help save on capital gains taxes if the heirs ever go to sell the property.

So, how it works, for example, let’s say a father or a mother purchased a piece of land for five hundred thousand dollars. When they pass away, their heirs, their children, inherit that property. The fair market value of that property we could say is a million dollars, so their adjusted basis would actually go up to a million dollars. So, if they were to sell the property six months down the road for 1.2 million, they would only have to pay capital gains tax for two hundred thousand dollars in value because the difference of 1 million to 1.2 million, as opposed to paying the difference of five hundred thousand dollars, which is what their parents paid for it and the sales price of 1.2 million. Now, they don’t have to pay capital gains tax until they actually sell the property. However, they may be subjected to estate tax.

So, it all depends on how many assets they get and for example. So, always, always work with a qualified CPA. I say this in every video, as well as, a good real estate attorney. But, this can be a tremendous tool because it helps to, you know, not eliminate taxes, but to mitigate taxes as much as possible. And, then you can also do 1031 deferred exchanges, which we’ve discussed as well. But, this can be a great tool.

And, especially if you’re working with a family. Of course, you know going through the death of a loved one is never easy, so if they’re trying to dispose of the assets, you know, as a real estate agent or broker you cannot legally practice law, but you can guide them to a qualified CPA or real estate attorney. But, you will be considered an expert if you can talk to this intelligently, because we’ve been surprised how many families don’t know about this. So, it’s called a step-up in tax basis and it can be extremely beneficial in mitigating capital gains tax as much as possible.

Here’s how to determine whether you’re dealing with one of these sites and if there is any potential for future use or development.

What if you’re looking at a property that could be a potential brownfield site. So, brownfield sites are former industrial commercial properties that have or may have contaminated soils. So, what are these former sites? Potentially former concrete plants, industrial facilities, warehouses that use chemicals.

The two main culprits that you’ll probably come across in real estate are gas stations and then laundry mats. So, gas stations, the tanks below the ground sometimes will deteriorate seeping gas into the soil and contaminating the soil. And then laundry mats, all of the chemicals and soap sometimes can contaminate a site.

But, something to look out for as well, it’s not just the site that that laundromat or gas station or concrete plant was on, it could be neighboring parcels as well. We were looking at purchasing a property in Elgin right off of Highway 290 and it was right next to a gas station. So, I’ve mentioned this in previous videos, but you always want to conduct a phase one when you’re buying any commercial property. Even if you’re buying raw land in rural areas, you may want to conduct a phase one as well. You can also look at historical Google Map photos or Google Earth photos and those go back to 1982, I believe, So, you can see if there were any holding tanks or pump jacks or refineries, etc. But, at the very least, you want to conduct a phase one. This is going to cost you anywhere from four to six thousand dollars and take about four to six weeks. So, what will happen is an engineer, a professional engineer, will conduct that phase one and look at historical records to see if there are potential contaminants in the soil.

Now, if they come back and say, “hey, we do believe that there are potential contaminants in the soil,” you have to move to a phase two. A phase two is going to cost you significantly more and it’s going to take more time. But, they actually take bore samples of the soil and then send them off to a laboratory to be tested.

What happens if those tests come back positive? Well, then you have to go to phase three which is mitigation and planning. Now, if you’re looking at a brownfield site, you know, think old cities right, they have a lot of industrial buildings that used to be around Chicago, New York, for example. A lot of people are repurposing these buildings, turning them into potential housing or repurposing them for other uses. Now, these sites are contaminated, so it comes with a lot of risk as well. But, you want to work very closely with the local authorities, as well as, licensed engineers to really create a mitigation process. You can plan on this being very costly and timely.

You know a common joke, but it’s completely true, is that it usually costs far more than you budget and takes far longer than what you budget, But, it can be a great opportunity because, you know, in any investment, thinking like a contrarian sometimes it sometimes gets you a higher profit. A lot of people will avoid these sites because it does come with a lot of risk. But, if you think like a contrarian and you take the necessary steps in place you can turn a brownfield into a beautiful real estate development and repurpose it. Of course, always consult with experts and, again, I highly recommend that you create a large contingency in your budget and also a contingency for time.

Can you object? What can be negotiated?

What happens if you own a piece of land here in Texas and you’re contacted by a local oil company or a natural gas pipeline or an electric company that wants to secure an easement on your property. Because these easements are considered for the greater good of the population, these easements actually supersede landowner rights using eminent domain. Interestingly enough, cell towers are not considered for the greater good. So, a cell tower company can’t just come and plop up a cell tower on your property. One could argue that cell towers offer just as much benefit, if not more, than a natural gas pipeline or an electric easement, for example, but it is interesting and thank goodness that they can’t just put a cell tower on our property.

First and foremost, I highly recommend that you contact a good local attorney that specializes in eminent domain cases in your area. Some local ones here in the Austin area are Jackson Walker LLP or Mars Ellison Hodge LLP. They specialize in eminent eminent domain cases. Now, I’m not recommending these companies by any means, but they are some credible companies in the area. And, there are others as well. Once you are contacted by a local utility company or an oil or natural gas pipeline company, they’ll submit an offer to you. Now, you have a certain amount of time that you have to respond to that offer, so it’s imperative that you get in contact with an eminent domain attorney, in my opinion, right away so they can represent you because, of course, this offer is probably going to be a lowball offer. It’s just how the game is played. It’s a game of cat and mouse. So, you want to respond promptly because, if you don’t, then that offer might just be the offer that you are required to take.

Tiffany Dow Lashmet with Texas A&M wrote a great article about eminent domain. It’s called “Eminent domain in Texas: A Landowner’s Guide.” And, in this free article that you can download off of Google, it’s about 40 to 50 pages in PDF format, she discusses the various items that you might be able to negotiate as the landowner. For example, if an oil pipeline is going to put a pipeline on your property, what is the depth at which they’ll bury that pipeline? Of course, they want to go as shallow as possible because it costs more money to go deeper. But, you can negotiate that. You can negotiate the actual width of the easement, maybe the type of material that’s used for the pipeline.

Thinking long term, what happens if the pipeline breaks on your property and contaminates the soil? Well, they should be responsible for cleaning that up, but if it is not specifically stated in your agreement – your lease agreement with them – well, then you might not have to or you might bear the cost of that actually.
Also, thinking ahead, and we ran into this recently with the property that we purchased in San Marcos, there was a natural gas pipeline that was built and constructed in the 70s and it has since been abandoned for almost 15 years. However, the original owner in the 1970s did not have a provision in the lease agreement that required the pipeline company to remove that pipeline once abandoned. So, first you have to get their permission to vacate the easement. We’ve done a video in the past on vacating easement, so you can circle back to that. And, then secondly, they are requiring us to bear the cost of removing that pipeline. So, tell me how ridiculous this is, they have the pipeline on our property, it’s been abandoned for 15-20 years, but we have to bear the cost, which the minimum bid was $52,000.

So, you want to make sure that you are setting yourself up properly. Work with a good eminent domain attorney in the area that can really help you navigate these leases. Because, these pipeline companies, these electric companies, they have an army of good attorneys that are going to only benefit them, of course.

What are the 4 standards that must be met for there to be an adverse possession property rights case & how property owners typically fare in a Texas court of law.

You may have heard of adverse possession as it pertains to real estate. Adverse possession is the occupation of land to which another person has legal title with the intent of owning it for yourself. This is sometimes referred to as “squatters rights.” Now, this is a very complex area of the law and it’s highly recommended that you consult with an attorney whether you’re trying to win a case in adverse possession or someone who’s trying to take your land via adverse possession.

Now, there are four standards or rules that must be met with an adverse possession claim.

1. The possessor must have entered the property and have exclusive access to the property.

2. Secondly, it has to be open and notorious, meaning it can’t be done secretively.

3. Third, it has to be adverse to the current legal owner of the land. In other words, there can’t be an agreement between the possessor and the owner. It has to be an adverse impact to the legal owner

4. It has to be for a continuous statutory period with the statute of limitations. Generally speaking, regarding the use of the land, it has to be for a continuous period of anywhere from three to ten years. Generally, it’s ten years in order to get in an adverse possession claim won in court.

That being said, Texas does not favor adverse possession claims and it has many laws that make it extremely difficult to win a claim. Texas has very strong property rights, which I actually think is a good thing. So, it’s very difficult to win an adverse possession claim in court.

Developing land in the county where there are no zoning restrictions can have a lot of positive benefits for your project. In other words, you might be able to build a warehouse or an apartment complex and as long as you adhere to the required setbacks, environmental regulations, etc., you don’t have to go through as stringent of a process.

Something to keep in mind though, there’s a lot of inherent risk with this. For example, Houston, TX is one of the only, if not the only, large metropolitan markets in the country that does not have a city-wide zoning ordinance. So, you might be able to build a skyscraper right next to a residential subdivision. So, again, there are a lot of risks with this. Because, if you think about it, if you’re building a certain product type, let’s say an apartment complex, and you’re building in an area that doesn’t have zoning, what’s keeping other competitors from coming in and building right next to you? So, there really isn’t a limit on controlling supply, if you will.

Another risk, what if you’re doing a residential subdivision in the county and a company comes in and builds a commercial slaughterhouse or a commercial feed lot right next to your project. Do you think that will impact your ability to sell residential lots? Absolutely, right?

One way to insulate yourself and protect yourself as much as possible when developing in an area that doesn’t have zoning is by conducting what’s called an open records request. This is where you reach out to the governing body for that area where the property is, whether it’s a city or county, and you can request to get publicly available information to see if any other company or entity has filed a building permit for, like i said, a commercial slaughterhouse or a commercial feed lot. This is a great way to help insulate yourself and protect your project. A city or county by law is required to respond to you within two weeks if it is publicly available information.

And, what vacating an easement could do to the value of your property.

If you own a piece of land or you’re looking to buy a piece of land, more than likely there will be easements on the property. But, did you know, in some cases, you can actually remove an easement? This process is called vacating an easement.

In Texas, many oil and gas pipelines were laid several years ago, obviously oil and gas is big business in Texas. The Texas Railroad Commission has a great website where you can view many of the pipelines that are laid throughout Texas and you can actually see if some of these pipelines have been abandoned. Now, one note here. Non-use does not necessarily mean that the pipeline has been abandoned. But, once you go to the Texas Railroad Commission website, if you see that a pipeline has been abandoned, you can actually reach out to the company that the easement was granted to to see if they will abandon that easement and remove it entirely because it is no longer in use and they have abandoned that.

Of course, this topic is very, very nuanced. So, we highly recommend that you work with an attorney to vacate an easement. I promise you they will be worth every penny. I promise you that.

Of course, once an easement has been indefinitely removed from a property that value of the property could increase substantially because it is no longer encumbered by that easement.

But, as a landowner or someone looking to purchase property, it’s important to be aware of some of the different easement categories, classifications and when they can be applied to your land.

If you own a piece of property or if you’re looking to buy a property, almost always there will be various types of easements on these properties. An easement is the right for one person to use the land of another. Now easements come in all sizes, shapes and colors so to speak and it’s important that you understand the implications of the various types of easements.

There are many types of easements and they usually fall under four different categories in Texas. Easements by Necessity, Easements by Prescription, Easements by Dedication and Easements by Condemnation.

Easements by necessity are when a landowner does not have any access via ingress or egress to his property and must utilize access through what’s called a servient estate. This is where the dominant estate actually holds the easement through the servient estate. This is very nuanced and doesn’t come up that often.

Next is the easement by prescription. This is when a claimant has an adverse impact on a neighboring landowner and claims property. Now, this claimant must meet a few different criteria such as, the access is used exclusively by the claimant, it is in adverse possession to the other owner of the land and it must have been used for a period of 10 years or more.

Next is easement by dedication. These are the most common types of easements that you’ll see such as, public utility easements, joint use access easements, drainage easements, conservation easements, etc. Conservation easements are actually becoming very popular in the hill country just west of San Antonio and Austin because it’s such a beautiful area, land owners want to conserve and maintain that beauty and keep it from development. And, there are actually great tax benefits to place a conservation easement on a property. Conservation easements can either be in perpetuity or for a specific finite amount of time.

Lastly, are easements by condemnation. This is where private land is taken via process called eminent domain for the use of public land. This is typically used for laying oil and gas pipelines, building new roads, widening roads, etc. Now, there’s been a lot of controversy about easements by condemnation and eminent domain over the years because, as mentioned, it has to be used for the public good. But, if a pipeline, for example, is being laid, it’s also for the benefit of a privately held company. So, there’s a lot of controversy around this.

Lastly, there are easement classifications that you should be aware of. These are pertinent and in gross. A pertinent just simply means that it’s an easement that is tied to the land and when you sell that land it will run with the land. Whereas, an easement in gross is a private easement that will actually be terminated when the property is sold.

If you’ve ever bought a piece of property near a body of water, you’ve probably heard of riparian rights. Riparian rights are private water rights for the use of access or consumption that are tied to land ownership bordering ponds, lakes, streams, or rivers. Riparian water is limited to the watershed of the source from which the water is taken and it’s critical that the property actually touches the body of water.

Something to note, coastal waters are excluded from riparian rights. What’s called littoral rights pertain to coastal waters such as oceans, seas, and deltas.

Riparian rights are not lost by non-use and the owner reserves the right to access or use the water whenever he or she deems necessary. Now, what happens if the body of water is altered due to a flood or a drought, for example. What’s called rites of accretion will be applied, which simply means the riparian rights now extend to the new water line. And, in the case of a drought, there will be newly exposed land. The owner will actually gain legal title by rights of accretion.

What are deed restrictions? Who enforces them? When they can be altered and how buyers can get hit with a costly surprise if they don’t do their due diligence in this area.

Deed restrictions are restrictions that are imposed by the current land owner for a specific piece of land and these restrictions can vary from restrictions against hunting to restrictions against development. And typically, they will run in perpetuity with the land. Sometimes there will be a clause in the deed restrictions that will allow the restrictions to be altered with the majority vote by adjacent land owners. Interestingly, deed restrictions are not imposed or enforced by cities or county municipalities and deed restrictions, in some cases, will actually override or supersede zoning ordinances placed by cities or counties.

There are several reasons why a landowner would put deed restrictions on a property. Generally speaking, they want to maintain the current use of the property. A lot of times you’ll see deed restrictions against manufactured homes or modular built homes. Of course, there are several reasons for this and there are differing opinions. But, if you place deed restrictions on a property, it could drastically alter the value of that property. Like I mentioned earlier, if you have deed restrictions against hunting or development, it might not be as valuable to other people that want to buy the land for development purposes, for example.

Deed restrictions are usually recorded with the county clerk’s office. So, whenever you’re buying a piece of land, a title commitment should reveal any deed restrictions that are attached to the land you’re purchasing. Now, there is a caveat with this. We purchased over 100 acres in Bastrop county and the title company that we were using at that time completely missed that there were deed restrictions attached to this property. We actually mentioned this in a previous video. So we always recommend that you hire an attorney, in addition, so they can look at the title commitment and do their own research. I promise you this is worth its weight in gold so you don’t get a nasty surprise like we did.

Let’s learn the difference between Ground Water and Surface Water and the implications of each to you as the land owner.

When you’re buying a piece of land or if you own a piece of land, ground groundwater rights are very, very important. Generally speaking, in the state of Texas, groundwater rights are determined by whether it’s groundwater or surface water.

If it’s groundwater, it is governed by the rule of capture in the state of Texas which allows a landowner to capture that water regardless of the effects of neighboring properties.

If it’s surface water, the state of Texas says that the landowners do not own the surface water and they have to get a permit from the state of Texas to utilize that water. This is also governed by the U.S. Federal Government with WOTUS which stands for Waters of the U.S. If WOTUS determines that a body of water on your property is navigable, then, therefore, anyone can actually tread that water. And, a navigable waterway could be a stream, a river or a lake. The implications of this are far and wide. Because, even if you own private property, if it has a body of water that is deemed navigable by WOTUS then anyone can actually navigate those waters, which is really frustrating as a landowner.

Of course, we always recommend that you consult an attorney, a water rights attorney, a CPA, a financial analyst when looking to buy land, because again these implications are far and wide.
