Where to find these regulations & what happens if they aren’t followed.

You may have heard of what’s called the Critical Root Zone or CRZ for short. So, this is an ordinance that is put in place by municipalities to protect trees. Now, Austin has a fairly strict tree ordinance and they have to protect the Critical Root Zone if you are developing any type of property around a tree. So, even if the tree is sitting in a certain spot, you can’t just start start digging up or placing a foundation or footings or a sidewalk or anything within 10 to 15ft, or even farther out of a tree. So, you need to work closely with the governing body. Typically, these are the municipalities and they even regulate their ETJ. Some local cities have also adopted tree ordinances such as San Marcus and Bastrop and many of these adjacent cities will actually model Austin’s tree ordinance.

So, the first thing you would need to do is actually conduct a tree survey to see if there are any protected heritage trees trees, as they’re commonly called. Generally speaking, a heritage tree is determined by whether it’s a certain size. So, they measure about 4 and a half ft. up from the ground level to measure the diameter of the tree. Or, if it has any type of historical significance, then it would probably need to be protected. Now, the critical root zone is determined by going out a foot, generally speaking, for every inch in diameter with a minimum of a 10t radius and that even extends upon that. Again, every city has different ordinances so you’ll want to work closely with them.

You know, for someone that’s in real estate, this could be frustrating because you may have a prime piece of property, but you have a large live oak heritage tree smack dab in the middle. But, that’s what makes Austin beautiful. It’s still a very green city and there are countless studies that have shown just being out in nature, being around trees, is beneficial.

So, how do we work around this, right? How do we work to preserve this? Now, some ordinances, some cities will allow you to pay a fee in lieu. If you cut down a tree, then you have to either pay a fee or maybe plant two more. The one thing you never want to do is just start cutting down a bunch of trees. There’s a local city close by that had a prime piece of land a developer bought and it was in the city’s jurisdiction and the developer went ahead and completely scraped the whole property without permission from the city. Now the city told me this in confidence, so I won’t name the specific city, but they slapped that developer with a $1.5 million fine. So, cities are taking this very seriously.

So, meet with the city, always disclose what you’re trying to do and then you’re going to have to get that tree survey and then determine which trees are protected and which are not. And, again, sometimes you can pay a fee in lieu and work with the city. So, it’s important that you know this information and, again, I think this is one of the factors that makes Austin so beautiful even though it is challenging from a real estate perspective.

So, CLOMRs and LONRs are regulatory documents that are issued by the Federal Emergency Management agency, also known as FEMA for short, as it relates to the floodplain. So, CLOMRs and LOMRs are documents that you can get from FEMA and also approved by the Army Corps of Engineers if you are looking to build or build in the floodplain or actually alter the floodplain through cut and fill, altering a body of water, a river, a stream, etc.

CLOMR stands for conditional letter of map revision and LONR simply stands for letter of map revision. So, if you as a homeowner or a builder are looking to build a structure in the floodplain, then you would get a CLOMR, a conditional letter of map revision showing that you are not adversely affecting adjacent property owners because of the water flow coming through. So, for example, if you build a home or a commercial building in the floodplain, water is going to run into that in the event of a flood and it could increase the size of the floodplain, affecting adversely neighboring properties. Let’s say you’re looking to actually alter the land through cut and fill. If you’re going to add a bunch of dirt, for example, to build out of the floodplain, if you’re going to alter a body of water, then you would need to get a letter of map revision. Now, keep in mind, you’re going to have to work with licensed surveyors, professional engineers, you’re going to have to work with FEMA and also get it approved by the Army Corps of Engineers. Obviously, these are federal government agencies.

This is a marathon not a sprint, minimum time frame you’re looking at probably 12 to 24 months. So, if you have it under contract with your land owner, you have to be upfront with them and you need to understand that this is going to take a long time. If you purchase the property, again this is a marathon not a sprint, but it can be very advantageous to you. I know a local developer who bought a piece of land and it was primarily in the floodplain, but over the years they allowed people to dump dirt from excavation sites locally, construction sites, with the one caveat that the dirt was not contaminated. And, then they slowly built that land up and then worked to get a letter of map revision from FEMA and the Army Corps of Engineers. Because they were able to do that, they then sold that property, because most of it was now out of the floodplain, and they netted over $3 million.

So, it can be very advantageous, but it’s not as simple as just dumping a bunch of dirt. You have to work closely with FEMA and the Army Corps of Engineers. It can be a very advantageous tool. Again, it is a long time frame and you need to work with professionals, so make sure that you’re talking to the right people.

But, there are different phases to ESAs – each more involved and expensive. How far do you have to go & when is it in your best interest not to move forward with buying the property.

A Phase One ESA or Environmental Site Assessment is recommended whenever purchasing a commercial property, or even raw land in some cases. A Phase One is conducted by doing a historical review of the property and speaking with the current owners and relevant personnel to see if there are any contaminants on the property. Now, Phase One is generally going to run you anywhere from three to five thousand dollars and can take three to six weeks on average. It’s very important though, a Phase One has to be conducted by a professional engineer and make sure that they sign the report when they give it to you. If they don’t sign the report, it could be deemed as invalid. Now, hopefully, the Phase One comes back negative with no known RECs. REC stands for recognized environmental conditions. If there are recognized environmental conditions potentially on the property, then you would need to move to a Phase Two.

Phase Two consists of collecting soil samples and testing those in a lab to see if there are any contaminants in the soil. Phase twos are a little bit more pricey starting at ten thousand dollars and up and they can take an additional four to six weeks. Now, hopefully, those soil samples come back negative. But, in the event that they do come back positive, at this point this is where you’re gonna need to ask yourself if it’s worth it to continue with the Phase three or, unfortunately, not move forward with the purchase of that property.

Now, Phase Three’s are actual mitigation of the soil and these can be extremely time time consuming and very expensive and in many cases they always cost more than you expect and take much longer than expected. So, as I’ve said in many videos, always consult with specialists, with consultants, with engineers. From our experience, generally, Phase threes just simply aren’t worth it and it’s not worth to move forward with it and purchase the property at that point.

It happened to us recently at Land Sale TX when purchasing a property just outside of Lockhart, TX – did we end up in court?

When you’re buying a piece of land in Texas, many times there will be a home on the property and it will be rented out to a renter. So, generally speaking, there’s going to be a lease deposit associated with that lease. Well, what happens when the owner sells the property to you? We recently had this come up where we were purchasing a large piece of land and it had six rental properties on the land. At closing, the seller didn’t think that he should have to transfer the lease deposits to us as the buyer because he didn’t receive those from the seller, which was actually his fault when he purchased the property. Those should have been transferred to him. He was firm on this. He absolutely was not going to let the price be decreased for those lease deposits because he actually never gathered those from the seller when he purchased the property.

Per the Texas Property Code Section 92.102, lease deposits must convey to the buyer because when those tenants leave, if they leave the property in good condition, how it was when they first started leasing the property, you are then required by law to give those lease deposits back to them. We went back and forth with this seller and he was firm. He didn’t think that he should have to pay for them. Now, we could have taken him to court. It was about $2,000, but you know, we’re negotiating a multi-million dollar land deal. Does it really make sense to take someone to court over $2,000. And, it’s interesting how money can blur people’s integrity. We just bit the bullet on this one. Instead of taking him to court, we actually came out of pocket to make sure that those renters were made whole because it’s the right thing to do.

Again, with the residential lease addendum, this is in addition to the TREC contract and if there’s ever a lease on a property, a residential lease, you have to attach this addendum. Because, in the addendum is where it states that the lease deposits shall be conveyed to the new buyer.

Where and how to conduct this search:

If you’re purchasing a commercially improved property and you’re using the Texas Association of Realtors contract, also called the TAR contract for short, there is a provision in the contract where you can check one of two boxes regarding a UCC Search. The UCC stands for the Uniform Commercial Code which allows creditors to notify other creditors, now creditors meaning either lending institution, financial institution or a lender, this Uniform Commercial Code allows lenders to notify other creditors of a debtor’s assets that are used as collateral for that building.

Now, if you want to do this search, the quickest way to do it in Texas is to get with the Secretary of State. On their website, you can actually conduct this search. Last time we checked it was a dollar for an online search or you can get a hard copy for $15.

Now, generally speaking, if there is any lien attached to a property, it should be shown on a title commitment. But, this might be an extra layer of protection for you. Again, this is found on the TAR contract. Ironically enough, it is not found on the Texas Real Estate Commission contract even for a commercially approved property.

So when is the best time to deliver the survey, who pays for it and what conditions should you have in place as the buyer and seller?

When you’re buying real estate, generally speaking, a survey will be needed, And, of course, it’s negotiable who pays for the survey. If you’re paying for the survey, it’s very important that you deliver the survey in the prescribed amount of time that’s listed on the contract.

We recently purchased some land near Lockhart, Texas and we told the owner that we would deliver the survey within 60 days. We ran into a few hurdles during our due diligence and so we delayed in ordering the survey. The survey was finally delivered on day 87, which was three days before our option period expired. It found that we were actually getting two acres less than what was agreed upon on the contract. So, we went back to the seller and said, per the contract, we need to adjust the sales price down because we are actually getting less acreage. The seller had a very aggressive attorney and said we were in default because we did not deliver the survey on day 60, rather it was delayed or served on day 87. So, it’s really important that you make sure that you are delivering the survey on time.

We always recommend delivering the survey when the option period expires or even after because if you find something during your due diligence that kills the deal, you don’t want to have to pay for the survey.

If you’re the seller and you’re having the buyer deliver the survey, make sure that they promise to have the survey certified to you as a seller, because if they back out for some reason you should be able to keep that survey so you can use it when you go to sell to another buyer.

Of course, we always recommend that you review that with your attorney as well. In a title commitment there are four sections: A, B, C and D.

A stands for Actual Facts. This is the who, what, when, and how much of a transaction. So, who’s buying it, what are they buying, where is it and how much are they paying. Something to look for on the section A is the ownership type. Generally speaking, it’s going to be fee simple ownership. This is very important and we’ll discuss this more in a future video as well.

The next section is section B which is Buyer Notification. These are any items that are exceptions to the title policy such as, deed restrictions, building setback lines, easements. This section is very very important. You want to monitor this closely and review this with your attorney. Generally speaking, title companies will have links that will attach to documents such as easements that are recorded that are encumbering the property.

Next section is section C, which stands for Clear to Close. These are any items that must be resolved before closing such as, if there’s a mortgage on the property, if there are any liens attached to the property.

The last one is Disclosure. This is just simply stating who the title company is, if they have any affiliations with other companies that they’re working with. Most of this is just very generic stuff but, still important to know.

One caveat that you want to look out for with a title commitment and working with any title company is that, generally speaking, title companies will not go look at past deeds from previous ownership before, whether it’s 20 30 50 100 years before. We bought a property and the title company told us that there were no deed restrictions on the property. Lo and behold, when we went to sell it eight months later, we actually found that there were in fact deed restrictions on the property which obviously threw a very big curveball at us. So, it’s important that you take the initiative to look at all of the past deeds before because maybe there were deed restrictions written in a deed, but they weren’t actually recorded. So it’s important that you look at these past deeds.

Unfortunately, anything before 1985 is not digitized on most county appraisals or in county clerk’s website, so you actually have to go to the courthouse to find these documents. But, we highly recommend that you do that because, hopefully, you can find something that may have been missed.

Plus, where to find coverage for land disputes.

What is a Title Policy? Generally speaking, a title policy is going to offer insurance guaranteeing that the property is free from any defects or encumbrances on the title.

Something to keep in mind, this does not offer insurance if there are any boundary disputes or encroachments from neighboring structures on the property. We always recommend to get this additional coverage if you think there are going to be disputes. For example, if there is a neighboring property that has a structure that is going to encroach on your property. This additional coverage is found under section 6.A. in the TREC Farm and Ranch contract and the TAR contract has provisions for this as well.

What this does is it amends the title commitment section B item 2 to read shortages in the area so it will cover additional insurance on boundary disputes. What shortages in the area means is that the title company is not offering insurance if there are ever any shortages on surveys that are found in the future. For example, if one survey shows 100 acres, one shows 99.5, surveyors make mistakes a title company’s not going to offer insurance on that.

Another thing to keep in mind are the T-19 endorsements. Ironically, these are not found on the TAR or the TREC contract. There are various T-19 endorsements such as 19.1, 19.2, 19.3. Always we recommend you consult with an attorney, but these typically cover any disputes with utility lines or damage caused from mineral extraction.

The only two deeds that I’m ever comfortable using are a Special Warranty deed or a General Warranty deed.

Keep in mind, there are other types of deeds such as a Quit Claim deed. This is typically used
when someone just wants to relinquish ownership to a property. Generally they’re used in divorce situations. I would never accept a Quick Claim deed because there is no protection on the title
from any encumbrances or defects to the title. In addition, a title company won’t accept a Quick Claim deed, so I’m only comfortable using a Special Warranty deed or a General Warranty deed.

So what are the differences between the two? A General Warranty deed is the best type of deed because not only is it guaranteeing that the property’s title is clear from any defects or encumbrances from the ownership of the current
owner, but also from any past owners. Whereas a Special Warranty deed is only guaranteeing that the property’s title is free from any defects or encumbrances from the duration of when the current owner has owned the property.

Now, of course, you always want to get title insurance as well and title insurance should cover any issues that come up. But, keep in mind, title companies are in the business of collecting premiums not paying out for claims.

So whenever buying a property, I prefer to hopefully get a General Warranty deed from the seller. I’m not going to let this be a deal killer because sometimes sellers will only want to offer a Special Warranty deed.

Of course, we always recommend that you consult an attorney as well.

Let’s examine the differences between utilizing a Texas Real Estate Commission, otherwise known as TREC Farm and Ranch contract, versus the Texas Association of Realtors, otherwise known as TAR Commercial Unimproved Property contract. There are some slight differences between these contracts which could have large implications to you when purchasing property.

Some of the advantages of the TAR contract:

First and foremost, is regarding the earnest money. It has a provision that allows the buyer to instruct the title company to place the earnest money in an interest bearing account with a federally insured institution.

It also talks about estoppel certificates which we covered in a previous video.

Another advantage that I like with the TAR contract is it allows you to utilize a special warranty deed versus a general warranty deed which we will cover in a future video.

Some of the disadvantages of the TAR contract:

It really isn’t written in a way that acts as if structures are on the property. So, certain things such as farm and ranch accessories or residential accessories conveying to the buyer you would need to add that in the special provisions.

But, I think the biggest pitfall of the TAR contract is that it says Commercial Property contract. Sometimes sellers will think that their property is worth more because you’re using a commercial contract or that maybe you’re trying to pull the wool over their eyes and for that reason I prefer to use the TREC Farm and Ranch contract.

Usually, agents and brokers are more accustomed to this contract as well, so we prefer to use the TREC Farm and Ranch contract.

Of course, we always recommend consulting an attorney as well.
